1. Introduction
These Terms of Service ("Terms") govern access to and use of services, platform, and applications provided by SIMPLAA UK LTD ("Simplaa", "we", "us", or "our"). By accessing our services, you agree to be bound by these Terms.
Services include council-contracted student and special educational needs transport, private hire rides, airport transfers, the operational dispatch platform used by drivers, escorts, and internal staff, and the Simplaa mobile application ("the App") available on iOS and Android.
You must not access our services if you do not agree to these Terms.
2. Definitions
- Platform means the Simplaa web application, mobile applications, and associated software or tools.
- App means the Simplaa mobile application available on the Apple App Store and Google Play Store.
- Personnel means drivers, escorts (personal assistants), and individuals engaged to provide transport services.
- Customer means any individual booking or receiving a ride through Simplaa.
- Council Client means any local authority or council contracting Simplaa for transport services.
- Service User means any passenger transported as part of services.
- User means any person accessing or using the Platform.
3. Eligibility
No minimum age requirement exists for passengers or Service Users. Children and vulnerable individuals will be transported in accordance with safeguarding requirements.
Personnel registration requires being at least 18 years old and passing applicable compliance checks.
App account creation requires users to be at least 18 years old.
4. Services
4.1 Council-Contracted Transport
Simplaa provides student and SEN transport services under local authority contracts.
4.2 Private Hire and Airport Transfers
Simplaa offers private hire rides and airport transfer services to Customers.
4.3 Dispatch Platform
The Platform manages route assignments, scheduling, attendance tracking, compliance documentation, and financial operations.
4.4 Mobile Application
The App provides Personnel with the ability to:
- View shift schedules, route assignments and job details
- Share real-time GPS location with dispatch while on shift
- Communicate with dispatch via in-app messaging and voice calls
- Upload profile photos and compliance documents
- View earnings and payment history
- Manage account details and compliance records
5. User Accounts and Registration
Account creation and accurate information provision may be required for accessing certain Platform features.
Users are responsible for maintaining account credential confidentiality and all account activities.
By creating an account in the App, you agree to these Terms and our Privacy Policy. During registration you will be asked to confirm your agreement via a consent checkbox.
5.1 Account Deletion
You may request deletion of your account at any time from the Account settings section of the App by selecting "Delete account". Upon requesting deletion:
- Your account enters a 30-day grace period. You may cancel the deletion request by signing back in during this period.
- After 30 days, your personal data is permanently deleted or anonymised in accordance with our Privacy Policy.
- Certain records may be retained where required by law (e.g. financial records for tax compliance).
You may also request account deletion by emailing support@simplaa.com.
6. Personnel Obligations
- Maintain all required licences and compliance documents
- Comply with route assignments and schedules
- Treat all Service Users with professionalism and care
- Not subcontract assignments without approval
- Ensure vehicles meet regulatory and safety requirements
- Keep uploaded documents and compliance records current and accurate
7. Customer Obligations
- Provide accurate booking information
- Behave respectfully towards drivers and other passengers
- Be available at agreed pickup location and time
8. Mobile App — Location Tracking
8.1 When Personnel activate the "Start Shift" toggle in the App, the App collects and transmits GPS location data to Simplaa servers every 30 seconds. This enables the dispatch team to view crew positions on a live tracker for coordination and safety purposes.
8.2 Location tracking occurs in the background while the App is not in the foreground, provided you have granted background location permission.
8.3 Location tracking stops automatically when the shift ends or when you press "End Shift". You may stop sharing your location at any time by ending your shift or revoking location permission in your device settings.
8.4 By activating "Start Shift", you consent to the collection and transmission of your location data as described. If you do not wish to share your location, do not activate the shift toggle.
9. Mobile App — Voice Calls and Messaging
9.1 The App provides voice calling functionality between Personnel and the dispatch office using our VoIP service. Calls require microphone access and an internet connection.
9.2 The App provides in-app messaging between Personnel and dispatch. Messages are stored on our servers and are accessible to the sending and receiving parties and authorised Simplaa staff.
9.3 You must not use the messaging or calling features to:
- Send abusive, threatening, discriminatory or illegal content
- Share confidential information about Service Users outside of operational necessity
- Impersonate another person
- Distribute spam or unsolicited communications
Simplaa reserves the right to suspend messaging or calling access for misuse.
10. Mobile App — Push Notifications
The App uses push notifications to deliver time-sensitive operational information including incoming voice calls, chat messages, shift reminders, cover offers and schedule changes.
You may disable push notifications at any time through your device settings. Disabling notifications may affect your ability to receive important operational updates and incoming calls.
11. Payments and Financial Terms
Personnel payments follow agreed rates on the Platform. Customers must pay for services at quoted booking rates.
All amounts are stated in GBP and include VAT where applicable.
The App displays earnings information for informational purposes. Simplaa does not process in-app purchases or subscriptions through the App.
12. Cancellations and Refunds
Cancellation policies for private hire services will be communicated at booking time.
Simplaa reserves the right to cancel or reassign services due to operational requirements or safety concerns.
13. Safeguarding
Simplaa is committed to safeguarding children and vulnerable individuals.
All Personnel must comply with safeguarding policies and report concerns immediately.
14. Intellectual Property
All intellectual property rights in the Platform and App, including software, design, logos, and content, are owned by or licensed to Simplaa.
You may not copy, modify, distribute, reverse-engineer or create derivative works from the Platform or App without our prior written consent.
15. Acceptable Use
You agree not to:
- Use the Platform or App for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Platform, App or related systems
- Upload malicious software or code
- Interfere with or disrupt the operation of the Platform or App
- Use automated scripts or bots to access the Platform or App
- Share your account credentials with third parties
16. Limitation of Liability
To the fullest extent permitted by law, Simplaa shall not be liable for indirect or consequential damages arising from service use.
Simplaa is not responsible for losses arising from device permission settings, network connectivity issues, or third-party app store policies.
17. Indemnification
Users agree to indemnify and hold harmless Simplaa and its employees from claims arising from breaches of these Terms.
18. Suspension and Termination
Simplaa may suspend or terminate Platform and App access for Terms breach, safeguarding concerns, or operational requirements.
If your account is suspended or terminated, you may still request deletion of your personal data in accordance with our Privacy Policy.
19. Data Protection
Service use is governed by our Privacy Policy.
Simplaa is registered with the Information Commissioner's Office under registration number ZB896174.
20. Communications
Users consent to receiving communications from Simplaa via email, SMS, WhatsApp, in-app messaging, push notifications, or other messaging platforms for operational purposes.
21. Third-Party Services
The Platform and App may integrate with third-party services including Google Maps, Firebase, and Twilio. Simplaa is not responsible for their policies or practices. Your use of third-party services is subject to their respective terms and privacy policies.
21.1 App Store Terms
The App is distributed via the Apple App Store and Google Play Store. Your use of the App is also subject to the applicable app store terms of service. Apple and Google are not responsible for the App or its content.
22. Force Majeure
Simplaa is not liable for delays caused by events beyond control such as natural disasters, pandemics, or government actions.
23. Changes to These Terms
Simplaa reserves the right to update these Terms. We will notify users of material changes through the App or by email. Continued Platform and App use after notification constitutes acceptance of updated Terms.
24. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
25. Severability
If any provision is found invalid, remaining provisions continue in effect.
26. Entire Agreement
These Terms together with the Privacy Policy constitute the entire agreement between users and Simplaa.
